Becoming an Accredited Investor

Accredited investors on AngelList are able to view what funding companies are seeking, how much they have received thus far, and any specifics of what they are seeking. If you don’t know the rules for becoming an accredited angel investor, look them up, but essentially AngelList adheres to these rules and has a process for vetting potential investors by reviewing applications on an individual basis. It’s required you add cities where you would consider investing, but it’s optional whether you wish to disclose previous investments or references. Once you are approved as an investor, your account has additional features available to it.

Can investors increase, decrease, or cancel their subscription?

For those subscribed on a quarter-by-quarter basis, subscription amounts may be increased, decreased, or canceled at any time. Subscriptions will automatically renew unless you cancel it. Once funded, subscriptions cannot be modified.
For those subscribed on a yearly basis, subscription amounts may not be decreased or canceled for the first four quarterly funds. Once the four quarters have passed, subscription amounts may be increased, decreased, or canceled at any time on a quarter-by-quarter basis. Subscriptions will automatically renew unless canceled. Once funded, subscriptions cannot be modified.

What are the fees associated with the Access Fund?

The fund charges a 1% annual management fee. The Access Fund does not charge carried interest; however, the Access Fund primarily invests in portfolio companies via special purpose investment vehicles that do charge a carried interest (commonly 20%). Generally, 15% carried interest is paid to the lead investor of the special purpose investment vehicle and 5% is paid to AngelList.

What happens if all my capital isn’t deployed within the quarter?

All unused contributions will be rolled over to the next quarterly fund, regardless of whether or not an investor is renewing their subscription.

Which industries does the fund focus on?

AngelList Access Fund provides an opportunity to diversify your portfolio with private market deals spanning multiple sectors, geographies, and stages.

What is Private Capital Network (PCN)?

PCN is a community of select, experienced investors on AngelList. Through PCN, investors have the opportunity to participate on a deal-by-deal basis in a range of curated, high-signal deals. Investors who commit $250k or more to the Access Fund become a part of PCN.

Do I get to pick which deals to invest in?

The Access Fund Investment Committee makes decisions about the Fund’s investments. Investors don’t have control over which deals the fund invests in.

What is the typical exit timeline?

Venture investments most commonly have 7-10 year lifespans.

How do distributions work?

Subscribing LPs participate only in distributions from the quarterly funds they invest in. An LP has no exposure in portfolio investments of funds formed before their subscription was accepted or after it is canceled. Investors receive distributions as a quarterly fund exits its investments.
Distributions are typically made on a quarterly basis. There is no carried interest charged for quarterly funds, but distributions received by quarterly funds are net of carry and fees. Quarterly funds that have not exited all investments by the end of their term will be liquidated.

Can I liquidate my investment at any point?

At this time, investors can’t liquidate their positions prior to a portfolio company exit or liquidation of the Fund at the end of its lifecycle.

Does Access Fund support Qualified Small Business Stock tax exemption for qualified deals?

Yes. QSBS tax reliefs pass through to the individual LP level. We check for QSBS status upon exit of a portfolio company and let LPs know if an investment would qualify or not.

How do I receive my K-1 documents?

AngelList provides all investors their K-1s electronically and free of charge. Investors will receive K-1s for each quarterly fund, as necessary. For example if you invest for four quarters, you will receive four K-1s reflecting the underlying investments. AngelList will bundle all these K-1s together for you.

Networking and Researching

I highly recommend listing as many previously funded companies you’ve been involved with, because that’s an excellent way to connect with people and investors on the site. The Home page can seem daunting at first – lists of featured companies you’ve never heard of before – but scrolling down or clicking through, you can see that these are featured and recommended for potential opportunities.

Take advantage of your education if you attended a college or university connected on AngelList. That’s a great way to find new people. Stanford grads, of course, have a giant presence on Angel List, but so do many other schools. I graduated from the University of Michigan, and at the time of my search, I found 623 startups, 1135 alumni and 109 jobs affiliated. It’s just one way to find new companies and potential investors, easily searched under More, Colleges and Alumni. The Startups and Jobs tabs on the site are self-explanatory. It’s also possible to research valuations and salaries.

Building a Company Profile

Once your user account is established, then you can go on to create your company profile or profiles for past companies. Past companies don’t need to be too detailed, but if you’re seeking funding with a current company, look at what other companies have done with their profiles as examples. Think of the company page like an executive summary – you need your overarching business concept, your team, your business model and what financing you’re seeking. Most companies post a link to their pitch decks for investors.

One thing to note: if you’re seeking funding, you need to be able to answer questions about the type of funding you seek and your timeline. If you’re not prepared to answer those, your profile will be incomplete. “Make sure you have a well prepared pitch deck,” advises Tatyana Kanzaveli, a 500 Startups mentor and entrepreneur now seeking funding for the Open Cancer Network.

Rolling Fund carried interest is calculated based on an LP’s minimum subscription period. The minimum subscription period is the number of quarters to which an LP subscribes in advance.
This model was created to illustrate the mechanics of Rolling Fund carried interest from the perspective of a single LP. The model makes a handful of simplifying assumptions that are used to provide approximate estimates of performance. Actual performance may vary significantly depending on the specific terms of the Rolling Fund.

How does my Minimum Subscription Period implicate the rate at which I receive distributions?

An LP’s interest in a particular quarterly fund is calculated based on the relative investments of all LPs in that quarterly fund, rather than based on an LP’s relative investment amount over that LP’s entire Minimum Subscription Period, provided that Minimum Subscription Period is greater than one (1) quarterly fund.
For LPs with the same investment amount per quarterly fund, but with different Minimum Subscription Periods, this may result in an LP with a shorter Minimum Subscription period receiving a full return of their capital at a faster rate than an LP with a longer Minimum Subscription Period. As a result, the LP with a shorter Minimum Subscription Period may begin paying carried interest at an earlier point in time.

How is ownership calculated for distribution purposes, including rollover capital?

Причины ложного преждевременного семяизвержения

Ложное семяизвержение – спутник молодых, сексуально малоопытных или совсем неискушенных мужчин.

Оно происходит из-за острой реакции на стресс, из-за депрессии, волнения, нервного перенапряжения, недосыпания, неправильного режима питания, курения или страха (например, при тайном свидании).

Также причинами преждевременного семяизвержения могут являются:

чрезмерная чувствительность головки полового члена (с одной стороны, чувствительность такого рода добавляет яркости сексуальным переживаниям, с другой – может быть причиной преждевременного семяизвержения);
стремительное перевозбуждение (из-за смены партнерши; из-за желания произвести впечатление на партнершу; из-за ее слишком привлекательной внешности и т.д.);
психологический дискомфорт, отсутствие взаимопонимания между сексуальными партнерами (проверяется сравнением с отношениями с другими партнершами).

Главными причинами истинной преждевременной эякуляции признаны:

травмы мужских детородных органов;
травмы головы (в т.ч. давние);

Most people on AngelList send private messages without introductions, but you can also go through an introduction process. Either way, it’s easy to reach out to others on the network as long as you follow the general rules of the road when engaging with prospective advisors and investors. Most pitches or introduction messages are short, sweet and to the point. Your Notifications page will likely include some messages from people wanting to solicit you that are not the right fit, but as with most social media sites, there’s no implicit expectation that you will always reply.

Also note: a lot of people are on AngelList as members, but not really active. If it’s incredibly important to get an introduction to one specific investor, don’t take a chance that s/he will be on Angel List and see your message. Find another way to get introduced as a backup plan. It’s always best to have personal introductions.

Ghosts: The Forgotten Fallen Angels

Let’s take the idea of fallen angels – tortured people, anguished thinking and punishing thoughts a bit further. What if a suffering soul were to die? Would the person still be lost and experience emotional pain? Yes, it is possible. Death is not the savior some may think it to be.

Let’s consider that negative entities, evil ghosts, are earthbound spirits of humans that are suffering. These spirits, still ‘fallen angels,’ interact with those of us in bodies, sometimes communicating their messages to us. Often, the ghost messages are of their own fears – not something one would want to rely upon as wisdom. (People, even ghosts, tend to interpret the world and others through their own inner struggles.)

A spirit remains here with the living for numerous reasons. Perhaps the person has unfinished business, or maybe the person feels compelled to deliver a parting message to someone. For whatever reason a disembodied spirit remains attached to this realm, ultimately it is due to fear and a strong identification with this world of forms. This fear and attachment paralyzes the person, suspending them in a state of mental anguish – hell.

If we receive messages from others who are of an unstable state of mind, would you expect it to be enlightened? Would it be truth for you or me? Not likely.

Fallen Angels As Lost Spirits

In contrast, fallen angels are messengers whose message does not come from a heart of love but is truly an expression of fear. They represent, symbolically, at the highest level, us: people. When we are ruled by our minds and not our inner being, our awareness, the thinking created by the brain causes us to ‘fall’ when left to run on its own. We become trapped in mental concepts of past and future, lost for a season to who we truly are, numb to our true essence. We do not live our lives in the present moment. Yes, in a sense, we become the mind; we become fallen angels, the result of the fallen messages in our heads.

The mind can produce thoughts of past and future, fear, and failure, condemnation and guilt. Such thoughts are of a lower state, the meaning of the word ‘fallen.’ These thoughts are energy, or spirit, and are debased, keeping us in constructs of the mind. In other words, they cause us to suffer. The thoughts, then, may also be viewed as lost spirits, fallen angels. We are what we think (when we allow ourselves to only think).

We could say that most of us are fallen angels, for we appear to be lost people too caught up in our earthly experience. We may be partially aware. We could be totally unaware. Few of us seem fully conscious. Our actions on the planet seem to indicate we are highly unconscious.

Building a User Profile

Your mini-resume is like a Twitter profile – 160 characters – short and sweet. The “What I Do” section is more like the LinkedIn summary, where you can go into detail about your professional history. You can select whether you are an Investor, Entrepreneur, Developer, Designer or Advisor. Some people fall in multiple categories. You can only select two. For example, although I’ve been an entrepreneur in the past, I’m currently advising and seeking to invest, so I had to choose ‘Angel’ and ‘Advisor’ over ‘Entrepreneur’ for my profile. This matters for search terms, but the Mini-resume is what mot people read first. Asking people who have worked with you previously to provide references also provides some credibility. Even if you have recommendations listed on LinkedIn, those will not transfer to AngelList.
